Terms of Service

Last updated 2026-08-31 — under review by counsel. This is an interim draft written to describe our actual practices in plain language. It has not yet been reviewed by an attorney, and a counsel-prepared version will replace it. Where a term is still to be settled it is marked in brackets rather than guessed at.

These terms govern your use of the Genesis Financial platform and the services we provide through it. By using the platform you agree to them.

Who provides the service

The platform and services are provided by Genesis Financial, a commercial finance brokerage. Full legal entity name, entity type and state of formation to be confirmed by counsel

The contracting entity is stated here as the trading name only. The exact legal name, entity type and state of formation determine who you are contracting with, so they are left for counsel to confirm rather than asserted.

The software is licensed, not sold

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the platform for your own business purposes for as long as your engagement with us is active. Nothing in these terms transfers ownership of the platform, its software, or its design to you. We keep all rights we do not expressly grant.

You agree not to:

copy, resell, sublicense, or redistribute the platform;
reverse engineer or attempt to extract its source code;
use it to access data belonging to anyone other than yourself or your business;
probe, scan, or attempt to breach its security, other than through a good-faith vulnerability report to us.

You own your data

Your financial records, documents, and business information remain yours. You grant us permission to process them only in order to provide the service to you, as described in our Privacy Policy. We do not claim ownership of your data, and we do not sell it.

You can request a copy of your data, or ask us to delete it, at any time. If your engagement ends, you can ask us to return or delete your data subject to records we are legally required to keep.

What the platform’s output is — and is not

The reports, metrics, forecasts, recommendations, and AI-generated analysis in the platform are informational. They are produced from data supplied by you and by connected third-party systems, and they may be incomplete, delayed, or wrong.

Nothing in the platform is accounting, tax, legal, or investment advice. We are not your accountant, attorney, or investment adviser, and using the platform does not create any of those relationships. Before you act on anything you see here — filing a return, signing a financing agreement, making a hiring or capital decision — confirm it with a qualified professional. You are responsible for the decisions you make.

Connected accounts

When you connect a bank account or accounting system, you confirm that you are authorized to do so and to share that data with us. Our access is read-only: we retrieve balances, transactions, and accounting records. We cannot move money, make payments, or transact on your accounts. You can disconnect at any time from your portal.

Data reaching the platform from a third-party system is only as accurate and as current as that system makes it. We are not responsible for errors, outages, or delays originating with a connected provider.

Financing applications

Where you ask us to, we present your application to lenders and funding partners. We do not lend, and we do not decide applications. Submitting an application is not an offer or a guarantee of financing, and lenders set their own terms, pricing, and criteria.

Your account

Keep your login credentials confidential and enable the multi-factor authentication the platform requires. You are responsible for activity under your account. Tell us promptly at nicholas@thegenesisfinancial.com if you believe it has been used without your authorization.

Availability

We work to keep the platform available and current, but we do not guarantee uninterrupted or error-free operation. We may change, suspend, or discontinue features, and we may perform maintenance that makes the platform temporarily unavailable.

Disclaimer of warranties

Except where the law does not allow it, the platform is provided “as is” and “as available”, without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of liability

A limitation-of-liability clause — including the applicable cap and the treatment of indirect and consequential damages — is being drafted by our attorney and will be inserted here. We have deliberately left it blank rather than publish a term we have not had reviewed.

Governing law

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Venue and dispute resolution to be completed by counsel

Changes to these terms

We may update these terms. When we do, we will revise the “last updated” date at the top of this page, and material changes will be communicated to active clients. This version is dated 2026-08-31 and is an interim draft pending review by counsel.
